Welcome to Partner-Up Inc.! By accessing or using our Creator Marketing Platform ("Platform"), you agree to comply with and be bound by these Terms of Service ("Terms"). If you do not agree with these Terms, please do not use our services.

1. Overview of Services
Partner-Up Inc. ("Company," "we," "us") provides a Software as a Service (SaaS) online platform that helps businesses and brands identify potential content creators (e.g., YouTube influencers) for marketing campaigns and brand partnerships.

Key Features:

  • Users (businesses and brands) can create and manage up to 5 marketing campaigns at once.
  • Each campaign lists 25 potential content creators who match the campaign’s criteria.
  • The platform offers Cost, Revenue, and ROI estimates but does not facilitate direct communication or payments between users and content creators.

2. Account Registration and Information Collection
To access the Platform, users must register and provide the following information:

  • Company Name
  • Company Email Address
  • Company Website URL
  • Industry or Sector

When creating marketing campaigns, users will submit:

  • Marketing Campaign Name
  • Product or Service Description
  • Target Market Details
  • Ad Type and Budget Details

Users agree to provide accurate and complete information during registration and campaign creation.

3. Subscription and Payment

  • Access to the Platform is subject to a monthly subscription fee, processed through Stripe.
  • Subscription grants users access to manage up to 5 active campaigns.
  • Failure to complete payment may result in suspension or termination of account access.

4. Refund and Cancellation Policy

  • Cancellations: Users may cancel their subscription at any time by accessing their account settings.
  • Refunds: We do not offer refunds for partial months or unused campaigns. However, users can continue to access services until the end of the current billing cycle after cancellation.
  • Exceptional Cases: Refund requests based on service disruption will be considered on a case-by-case basis.

5. Service Level Agreement (SLA)

  • Uptime Commitment: We aim to maintain 99% uptime for the Platform. Scheduled maintenance or force majeure events are excluded from this calculation.
  • Downtime Credits: If the Platform’s uptime falls below 99% in any billing period, affected users may request service credits. Credits do not apply if downtime results from user error or third-party services.

6. Third-Party Services

  • Payment Processing: All payments are processed through Stripe. Partner-Up Inc. does not store sensitive payment information.
  • Data Analytics: We utilize third-party tools like Google Analytics to enhance Platform performance and user experience.
  • We do not control third-party services and are not liable for their actions or breaches.

7. Data Processing Agreement (DPA)

  • We process user data in accordance with applicable data protection laws. By using the Platform, users consent to our data practices as outlined in our Privacy Policy.
  • User data, including campaign information, is encrypted using SSL technology to ensure secure transmission.
  • We do not sell or share user data with third parties for their marketing purposes.

8. Intellectual Property Rights

  • All intellectual property rights in the Platform, including software, design, graphics, and content, are owned by or licensed to Partner-Up Inc.
  • Users retain ownership of their submitted content but grant Partner-Up Inc. a non-exclusive, royalty-free license to use the content for platform operations.

9. User Responsibilities and Conduct
Users agree to:

  • Maintain the confidentiality of account credentials.
  • Provide accurate information and update it as necessary.
  • Comply with our Acceptable Use Policy and refrain from illegal activities.

Prohibited activities include but are not limited to:

  • Uploading malicious software or unauthorized data.
  • Attempting to access restricted areas of the Platform.
  • Engaging in fraudulent or misleading behavior.

10. Confidentiality

  • Users and Partner-Up Inc. agree to protect confidential information exchanged during platform use. Confidential information excludes publicly known data or information independently developed.

11. Indemnification
Users agree to indemnify and hold harmless Partner-Up Inc. from any claims, damages, or losses resulting from:

  • Violations of these Terms.
  • Misuse of the Platform.
  • Infringement of third-party rights by the user.

12. Arbitration and Dispute Resolution

  • Any disputes arising under these Terms will be resolved through binding arbitration under the laws of [State/Country].
  • Users waive the right to participate in class actions.

13. Governing Law and Jurisdiction
